Please note below the terms and conditions regulating your use of this platform and all legal consequences arising from your utilization of its services across the internet. Any person’s use of "Shoplo" whether as a consumer, merchant, or otherwise—shall be deemed an explicit consent and full acceptance, while possessing full legally recognized capacity under Sharia and law, to all articles, clauses, and provisions of this agreement, confirming your commitment to its regulations. "Shoplo" may operate as a website, mobile application, or electronic platform, and this agreement shall be deemed effective and enforceable upon your approval and initiation of registration in accordance with statutory laws.
The preamble above constitutes an integral part of this agreement, and below are the meanings and definitions of the key terms used herein: 1. ("Shoplo"): Refers to the Shoplo Information Technology Application Company, including all online forms of the application and websites belonging thereto across the internet. 2. (Merchant): Refers to any natural or legal person who registers on "Shoplo" to establish their digital store, including all aspects of the store's operations via the platform. 3. (Store): Refers to the digital interface utilized by the merchant within the "Shoplo" platform. 4. (Consumer): Refers to any customer who purchases products or services from the merchant through the merchant's electronic store established via "Shoplo". 5. (Agreement): Refers to the rules, terms, and conditions of using the "Shoplo" platform, governing and regulating the relationship among the parties hereto. 6. (Service Provider): Refers to third parties whose services or links are provided by "Shoplo" to merchants, where the platform's role is strictly limited to technical linking without any liability or control over agreements between the merchant and the service provider.
1. The merchant acknowledges possessing full legal capacity recognized under Sharia and law, being at least eighteen (18) years of age as per applicable laws in Kuwait, and having sufficient awareness to establish and manage an online store via "Shoplo". 2. Notwithstanding the provisions of paragraph (1), minors below the age of majority in Kuwait may practice commerce provided they submit documented approval signed by their legal guardian or custodian when required. 3. The merchant acknowledges possessing sound capacity free from any legal disqualifications. 4. When registering as a company, establishment, or any other corporate form, such entity must possess the necessary legal, statutory, and Sharia capacity required to conduct commercial activities via the electronic platform.
1. "Shoplo's" mission is limited to providing digital support tools through store establishment and making the store accessible to users. 2. The platform may provide additional services such as marketing support, guidance, or electronic payment gateways, all of which remain subject to these terms and conditions. 3. The platform is not obligated to finalize sale operations between the consumer and the store, as its obligation ends upon providing store creation services. 4. The platform may temporarily provide certain free services to some stores, and merchants desiring additional services must contact technical support regarding packages and fees. 5. All transactions between the merchant and the consumer, or between the merchant and third-party service providers, are independent contractual relationships for which "Shoplo" bears no responsibility whatsoever.
1. Any person with full legal and Sharia capacity may establish a store in accordance with the rules of this agreement and specifically Article Two. 2. The established store must not violate laws, regulations, and public morals in Kuwait. The merchant is obligated to clarify the nature of their commercial activities and products, and "Shoplo" disclaims liability for any violations. 3. No person whose membership or store has been canceled by "Shoplo" or by judicial orders may use the platform. 4. Merchants must comply with all laws regulating internet commerce, cybercrime regulations, and electronic transactions. 5. The merchant acknowledges verifying and fulfilling all official requirements and licenses mandated by official authorities in Kuwait prior to registration.
1. You are responsible for maintaining the confidentiality of your account information and password, and you agree to notify "Shoplo" immediately of any unauthorized use or security breach. 2. "Shoplo" shall not be liable for any direct or indirect, moral or material losses resulting from the disclosure of your username, password, or misuse of the store. 3. You are obligated to use your electronic store personally and bear full responsibility for it. 4. You commit to using the platform seriously and credibly, complying with all laws in Kuwait, and compensating the platform for any losses resulting from unauthorized or illegal use of your account. 5. You must disclose true, accurate, current, and complete information upon registration and update it whenever necessary. "Shoplo" reserves the right to suspend or cancel non-compliant accounts.
1. The merchant agrees to receive communications via email or general broadcasts within their platform account. All electronic agreements, notices, and data shall have the same legal weight as written documents. 2. "Shoplo" may send promotional electronic emails during your membership to inform you of changes or new promotional activities.
1. You acknowledge and agree that "Shoplo" will notify you of any modifications to this agreement, which may alter your obligations or rights. 2. The platform reserves the sole right to make fundamental or subsidiary modifications to this agreement, notified via technical means, and continued use constitutes full binding acceptance. 3. All fees are calculated in Kuwaiti Dinars and must be paid through approved payment methods available on the platform. Certain packages or offerings are subject to varying fees.
1. "Shoplo" provides payment systems through its partners via the internet or other methods made available from time to time. 2. The platform has no relation to cash-on-delivery methods, which are governed solely between the consumer and the merchant. 3. The merchant is obligated to price products fairly according to market value and provide official invoices detailing goods, quantities, and descriptions. 4. "Shoplo" reserves the right to halt payment procedures or cancel purchases resulting from technical errors in displayed prices.
1. You grant "Shoplo" an unlimited, worldwide, permanent, irrevocable, and royalty-free right to use personal information or materials provided to achieve any platform interests. 2. You are solely responsible for the information you submit or publish, and the platform's role is limited to allowing you to display such info. 3. The confidentiality of store and merchant information is subject to the platform's "Privacy Policy".
1. The merchant undertakes to comply with all laws and regulations in force within Kuwait regarding their products and/or use of the platform, as well as internet usage rules.
1. All contents on "Shoplo" including texts, graphic designs, technical ideas, logos, buttons, icons, audio clips, and software are the property of "Shoplo" and protected by intellectual property laws. 2. The platform administration will take necessary legal action against any infringement on its intellectual property rights.
1. "Shoplo" respects the intellectual property rights of merchants created through their stores. 2. The merchant must respect the intellectual property rights of "Shoplo" and other parties.
1. If a consumer purchases goods through the platform and does not receive them or receives items differing from stated specifications, the consumer may notify "Shoplo", which has the right to take appropriate disciplinary action against the store. However, "Shoplo" is not legally responsible for such breach as it is not a party to the merchant-consumer relationship. 2. Consumers must review purchases prior to receipt to ensure integrity and compliance.
1. "Shoplo" is not responsible for unsatisfactory performance by merchants, shipping companies, payment gateways, banks, or consumer defaults, nor for losses resulting from unavailable goods or service delays. 2. The platform bears no liability for financial losses, defamation, or damages arising from misuse or inability to use the platform. 3. "Shoplo", its officials, and owners bear no liability for lawful products used for illegal purposes by users.
1. "Shoplo" informs you that the internet is not a 100% secure medium, though the platform implements high-standard tangible, organizational, and technical security measures. 2. The platform has no control over actions of third parties or external links connected to the platform. 3. User identity data collection and processing are governed by the platform's "Privacy Policy".
1. "Shoplo" may temporarily or permanently suspend or cancel a store or merchant membership in cases of violating usage rules, inability to verify user data, or engaging in illegal activities. 2. The platform retains the right to take legal action or resort to judicial authorities in Kuwait against violating users.
1. The merchant is obligated to manage their store professionally to prevent disputes with consumers. 2. Transfers of funds belonging to merchants' commercial activities within "Shoplo" are subject to the authority and regulations of the Central Bank of Kuwait, which may cause statutory transfer delays.
1. As a merchant, you commit not to allow the advertisement or publication of any content through your store that violates the privacy policy or the terms of this agreement.
1. Merchants must not violate any provisions of the Kuwaiti Cybercrime Law. Any violation falls under their sole responsibility, and "Shoplo" reserves the right to close the store or report violations to official authorities.
1. Without prejudice to other rights, "Shoplo" may suspend or cancel merchant membership or restrict access at any time without prior notice and for any reason.
1. "Shoplo" does not guarantee repair of defects or that merchant products are defect-free; warranties are provided by the merchant within the product description. 2. The merchant must establish their own independent replacement and return policy compliant with e-commerce regulations.
1. The merchant agrees to indemnify and hold harmless "Shoplo", its employees, and owners from any damage, claims, costs, or expenses arising from the merchant's breach of this agreement or Kuwaiti laws.
1. Nothing in this agreement constitutes a partnership between any merchant and "Shoplo". 2. Notices from the merchant to the platform must be sent via email, and platform notices to the merchant will be delivered via the registered email address.
1. The merchant has no right to object to "Shoplo's" management actions regarding the platform's entity, structure, technical, or administrative operations.
1. This user agreement is governed, construed, and formulated in accordance with the laws, regulations, and legislations in force and effect in Kuwait.
1. The merchant must commit to honesty, integrity, and good morals when dealing with consumers.
1. The terms of this agreement apply to all paper and electronic promotional publications across various media and social networks. 2. Offers provided by "Shoplo" are temporary and time-bound, and the platform reserves the right to modify or terminate them at any time.
1. "Shoplo" may provide strategic or logistics services (such as shipping companies) via third parties solely as a facilitation and cooperation measure. 2. The platform is not directly or indirectly responsible for any third-party actions, and such services are governed by independent terms between the merchant and the third party.
1. "Shoplo" provides technical support services to stores according to the privileges of the subscribed package.
1. Pursuant to the rules and terms of this usage agreement, in the event of any dispute or disagreement arising between the contracting parties, both parties shall commit to making diligent efforts to resolve the dispute amicably through conciliation, negotiations, and settlement for a maximum period of sixty (60) days from the date of notifying the other party in writing of the existence of the dispute. 2. If the dispute persists and no amicable settlement is reached within the aforementioned sixty-day period, either party shall have the right to resort to the competent authorities and judicial bodies in the State of Kuwait to adjudicate the matter.
1. If any article or clause in this agreement is canceled or rendered invalid, such ruling shall not invalidate the remaining articles and clauses, which shall remain in full force and effect. 2. This usage agreement constitutes the entire understanding between the merchant and the platform exclusively, regardless of any corporate or legal entity assumed by the merchant. 3. If this agreement is translated into any other language, the Arabic text shall remain the authoritative and binding reference in all transactions.
